Definitions
Let’s use this opportunity to get some words and meanings out of the way. For purposes of your understanding the following words, capitalized or not, are defined as:
“Account” means something you create and password protect that allows you to buy products/services from Piece Out Textiles, LLC. It’s there for your convenience to access past orders you have placed and to allow for future orders to be made and paid by the credit/debit card/bank account of your choosing to POText.
“Adult” means you agree you are 18 years or older and can make the financial decision and pay all costs to make a purchase from POText.
“Content” means everything you see on this website: text, images, sentences, information that can be posted, uploaded/downloaded, linked to, and that which is made available to you through any form of written contact by POText.
“Customer(s)” refers to you, the user(s); someone who buys products/services from POText through our website, services, trade shows/markets. (See “You” and “Your”)
“Device” means that which you are using to access our website (computer, cellphone, iPad, tablet, etc.).
“Feedback” refers to the words you use to help us make POText a place you want to come back to for your quilting needs. This includes your suggestions regarding our website.
“Products” are what you buy that POText has available to sell to its customers.
“Orders” consists of what you request POText to send to you or are part of a service offered that are maintained in your customer account.
“Promotions” consists of sales, contests, rewards or discounts, etc., offered through POText to you, our wonderful customer. Thank you!
“Service” refers to not only POText’s website/trade shows/markets, etc., but includes when you request our quilting services or ask us to send you the products you’ve purchased.
“Third-party” means anyone not affiliated with POText which may be linked or advertised or represented on the website. It also includes POText’s website service provider.
“Website” means where you are now - https://www.pieceouttextiles.com.
“You,” “Your” means - well, we believe you know this; but, in case you don’t, POText will refer you to the meaning of Customer.
The headings used in this agreement are included for convenience only and will not limit or otherwise affect these terms.
Overview
This website is operated by Piece Out Textiles, LLC. POText offers this website, including all information, tools and services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here.
By visiting our site and or purchasing something from us, you engage in our “service” and agree to be bound by the following terms and conditions (“Terms of Service,” “Terms”), including those additional terms and conditions and policies referenced herein and or available by hyperlink (link). These Terms of Service apply to all users of the site, including without limitation users who are browsers, vendors, customers, merchants,, and or contributors of content. Please read these Terms of Services carefully before accessing or using our website. By accessing or using any part of the site, you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions of this agreement, then you may not access the website or use any services. If these Terms of Services are considered an offer, acceptance is expressly limited to these Terms of Service.
Any new features or tools which are added to the current store shall also be subject to the Terms of Service. We reserve the right to update, change, or replace any part of these Terms of Service by posting updates and or changes to our website. It is your responsibility to check this page periodically for changes. Your continued use of or access to the website following the posting of any changes constitutes acceptance of those changes.
Our store is hosted by Squarespace. They provide us with the online e-commerce platform that allows us to sell our products and services to you. Thank you Squarespace!
Content, Content Restrictions, and Acknowledgment
You, as a customer of POText, may use our website for legal purposes to buy products or use POText for your long-arm quilting needs.
If you continue to use our service/website you are agreeing to these terms and all others listed above/below and which might be found elsewhere on this website (Privacy Policy, Create an Account, Shipping, Returns/Refunds). So, please, please, read them all. If you disagree with any of these terms or any of our other policies, stop, click that little X in the right-hand corner of the tab you have open and disconnect. Do not go any further. Whatever you decide, we thank you for your time and hope you have a spectacular day!
It’s unfortunate that the rest of this paragraph is about what you cannot do or are prohibited from doing:
You may not use the website’s contents, uploads/downloads, including images/logos/trademarks/patents/trade secret, emails, etc., in order to violate any copyright laws of any sort, including Piece Out Textiles’.
You cannot infringe on the intellectual/proprietary rights of us or any third-party represented/linked to as part of POText’s services, including ours or any third-party’s images/logos/trademarks/patents/trade secrets, etc., or the images, intellectual/proprietary rights of our customers if applicable;
You may not impersonate anyone connected to POText, including POText itself, or misrepresent, provide/submit false facts or misleading information of any circumstance involving POText, its users, or any third-party;
You may not solicit others to perform or participate in any unlawful acts;
You may not use the website, service, or its contents for any obscene or immoral purpose; or to interfere with or circumvent the security features of the service or any related website, other websites, or the Internet;
You may not violate any international, federal, provincial or state regulations, rules, laws, or local ordinances by use of this service;
No content is allowed anywhere on this service that is unlawful, offensive/obscene, upsetting, intended to disgust, threaten, libel, harass, defame, etc., or is otherwise objectionable regarding POText or its current/past/future customers as part of our service that which is based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability;
You are precluded from doing anything that involves spamming, phishing, giving our content/service/service provider/customer accounts, etc., a virus or other such malarkey whether by machine or randomly generated of the service or of any related website, other websites, or the Internet;
You may not violate the privacy of any third person such as the owner of POText, its designee(s), its customers, service provider or distributors/suppliers;
You may not collect or track the personal information of others, including POText;
You do NOT have our permission to use Piece Out Textiles, LLC’s, service/website, images, content, and all else connected to POText, for any illegal activities not already mentioned.
And since we can’t ask to see your birth certificate, you agree you are 18 years or older and financially responsible for all charges against the credit/debit card or bank account(s) you input to use our service/website. If you do not agree you are 18 years or older, then please ask the adult, meaning a parent or guardian associated with you, before proceeding to place any order. Especially that! It would make us sad to find out you weren’t old enough to make a large purchase that was charged to your parent or guardian’s credit/debit card or bank account.
Currently, only POText is able to post content to our website. If this changes, we will update this section to include “what you can/cannot do.”
There may come a time that you comment or give feedback (i.e., creative ideas, suggestions, proposals, plans, or other materials whether online, by email, by postal mail, by text, or otherwise) or POText requests comments/feedback from its customers. We thank you for this. When you do, you agree that the content is yours, meaning you own it and have the right to use it (see copyright laws) and are giving us permission (rights/license) to use it. An example of this might be, “I love your store. Your customer service is magnificent and quite helpful.” If POText does use your feedback, you grant POText, at any time, without restriction, the non-exclusive, perpetual, irrevocable, royalty-free, worldwide right and license to use, modify (meaning check your spelling, punctuation, and grammar and correct it), publicly perform, publicly display, reproduce, disclose, translate, sub-license, and distribute such comments/feedback on and through our service or marketing tools, pamphlets, etc., to make it available to other customers/potential customers. POText shall be under no obligation (1) to maintain any comments/feedback in confidence; (2) to pay compensation for any comments/feedback; and/or (3) to respond to any comments/feedback.
Right to terminate
Piece Out Textiles, LLC, its owner(s), or designee(s), has the sole right, discretion, and responsibility to terminate a customer’s account for any reason. Mostly, it will be because you have violated our Terms of Service, policies, and or not agreed to our use terms, and or simply broken a law using our website, and or are just unpleasant, mean, and nasty to us. We might suggest that if you’re not in a good mood or are overly frustrated with a situation involving POText, that maybe you should wait a day or two to speak to us. This way you can work with us, not against us. All we ask is that you contact us so we can try to resolve the dispute and thank you in advance for your pleasant and positive attitude.
There may come a time when you decide you no longer want to be a part of POText. We will be disappointed, but understanding, and you have the right to terminate your account simply by discontinuing using the service and or notifying us by email at contactus@pieceouttextiles.com of your desire to have your account terminated. If Piece Out Textiles, LLC, finds it necessary to terminate your account or its service to you, we will notify you by email at your most recent email address provide to us, send you a certified letter, return receipt requested at the last known address we have on file, or call/text you that your account is being terminated.
Copyright, trademarks, intellectual rights and property
The content on this website has been created, designed, and written by Piece Out Textiles, LLC; that means we own the rights to it. This means you may not use it for any purpose. However, if you feel POText has infringed upon the rights of a third-party, please let us know, and we would be happy to look into the matter further and make any corrections if deemed required. Please submit this information via email at contactus@pieceouttextiles.com with a detailed description of how you feel something we did infringes a copyright or other intellectual proprietary right of any person or company. If you misrepresent any fact that POText’s content is infringing upon the rights of another, you may be accountable for damages, including costs and attorney fees.
You may not use our logo(s), favicon, service, content, website or products created by Piece Out Textiles, LLC, or its dba’s, if any, without expressly asking for and receiving written permission from Piece Out Textiles, LLC, on our letterhead. If you don’t have it, don’t use it. If you think you might want to use an image from a third-party, for example, Fil-Tec Glide Thread or Gutermann Thread from our website, DON’T. We suggest you get in touch with that third-party as Piece Out Textiles, LLC, cannot, will not, and does not give permission for you to use a third-party’s images or content.
You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the service, use of the service, or access to the service or any contact on the website through which the service is provided because you do not have permission from Piece Out Textiles, LLC, to do so.
Customer accounts
Yes, it’s your account that you create to be used for the sole purpose of purchasing products and services from POText; however, there are several conditions that go along with that which you must agree to and acknowledge such as:
You understand that your content, NOT including credit/debit card or bank information, may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit/debit card and bank information is always encrypted during transfer over networks.
You must provide POText with current, accurate, true, and complete information. If POText finds out you haven’t, this would be considered a breach of the terms which would result in termination of your account.
You must keep your account up-to-date with your current address and contact information. We certainly wouldn’t want to ship the items you ordered to another person because we didn’t know you moved. We will not be held responsible for lost or stolen items or items shipped to an incorrect address.
You create the account, you choose the username/email address, and you create the password. All of that is your responsibility. It’s also your responsibility to keep your password somewhere safe, don’t make it an easy one to guess, and never give it to anyone for any reason at any time. If you do so, you are putting yourself at risk of being charged for misuse and ordering of products you otherwise would not have made to your account. Inform POText immediately if there is a compromise or breach of your password or unauthorized use of your account. If you join POText’s Facebook page or follow us on Instagram, those passwords you would otherwise use to connect to those social media sites, or any other site, remain your responsibility as well; POText has no control of or responsibility for those passwords.
Your username should be appropriate and not include any obscenities , vulgarity, or profanity, and not impersonating a person or entity. It should be one that is lawfully available and not include a name or trademark subject to the rights of other individuals or entities.
You agree you are not located in a country subject to a United States embargo or been designated as a terrorist supporting country, and that you are not part of any list created by the United State Government of prohibited or restricted parties.
Your submission of personal information through the store is governed by our Privacy Policy. Click the link to view our Privacy Policy.
I like what you have to offer, I think it’s time for me to place an order.
Before clicking that purchase button, check to make sure you are 18 years or older, you have the legal right to order and pay for the product(s) or service(s) using whatever form of payment you’re choosing to use, and you really want what you have in your cart. If one of these do not apply, then we suggest canceling your order to avoid unnecessary/unwanted charges.
Good! Your cart still has products in it, you’re 18 or older, and you have the legal right to use the form of payment you’ve chosen. As you completed your order, you were asked to provide information like your name, your email address, your phone number, your credit/debit card with expiration date or bank account information, your billing address and where you want it sent, and you’ve checked that everything is true, correct, and complete. When you click “submit your order,” you are granting POText the right and ability to provide this information to our third-party payment processing company (i.e. PayPal) for the sole purpose of completing your order and for POText to receive monies for the product(s)/service(s) you ordered. Thank you for your order!
Certain products or services may be available exclusively online through the service/website. These products or services may have limited quantities and are subject to return or exchange only according to our Return Policy.
We have made every effort to display as accurately as possible the colors and images of our products that appear on the store. We cannot guarantee that your computer monitor’s display of any color will be accurate.
Oh-oh! You cancelled my order, how come?
POText reserves the right to cancel any order placed with us for any reason. We reserve the right, but are not obligated, to limit the sale of our products or services to any person, geographic region or jurisdiction, and reserve the right to do so on a case-by-case basis. We reserve the right to limit the quantities of any products or services that we offer or cancel quantities of products or services purchased per person, per household, or per order. These restrictions may include orders placed by or under the same customer account, the same credit/debit card or bank account, and or orders that use the same billing/shipping address. In the event we make a change to or cancel an order, we may attempt to notify you by contacting the email/billing address/phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors.
All descriptions of products or product pricing are subject to change at any time without notice and is at the sole discretion of POText. Because POText has no control of when a product, especially fabric, will be unavailable, we reserve the right to discontinue any product or service at any time. As quilters, we’ve all been there when a shop owner has to say, “Sorry, I just can’t get that line any longer; it’s been discontinued by the designer.” (In case you didn’t know it, fabric manufacturers produce only so much fabric, and once it’s gone, it’s gone.) Any offer for any product or service made on this site is void where prohibited
The last event that would cause us to refuse or cancel an order would be because there are errors and/or misrepresentations in your order. This might be because of fraud or an unauthorized or illegal transaction being suspected. For example, you’re really not 18, you’ve provided inaccurate information and your parent or guardian found out that you placed an order due to us calling when we saw something suspicious on the account. Don’t believe me! Well, let me tell you a story about the time… (Again, you agree to provide current, true, correct, and complete purchase and account information for all purchases made at our store or for our services. You agree to promptly update your account and other information, including your email address and credit/debit card numbers and expiration dates or banking account information, if applicable, so that we can complete your transactions and contact you as needed.)
Bummer! I had to cancel my order, now what?
This would make POText sad that you had to cancel your order; however, we understand that oftentimes purchases are made and you realize later you shouldn’t have spent so much money. We here at POText have been there ourselves rethinking our fabric or product purchases before we paid for them.
If you find yourself needing to cancel an order, you may do so within 48 hours of placing it by sending an email to orders@pieceouttextiles.com. Please let us know as soon as possible that you wish to cancel it as our shipping department is quick to process your order and get it shipped. Once it leaves our hands, we can try to get it back, but most likely we won’t be successful. If it was shipped to you and you still don’t want it, you may ship it back to us, but you’ll have to pay the shipping fee to do so. If you keep it after all, you will be charged for it.
Oops! I think you made a mistake.
When creating this service, we read and reread and reread…well, I think you got the idea. We found errors and fixed them and will continue that process as we add other content and pages. Throughout, we have done our best to catch any errors, inaccuracies, or omissions in our content, including descriptions of products, our pricing, promotions or sales, if any, shipping charges/information, etc., but we’re human and some error, inaccuracy, or omission may still have occurred. Due to this we do not guarantee or warrant you won’t find an error, inaccuracy, or omission in our pricing, product images or descriptions, specifications, availability of products or services, promotions/sales, offers, product shipping charges and transit times, etc. We will do our best to change or update these as they occur, as well as cancel any orders if needed, if any information in the service or on any related website is inaccurate; however, we reserve the right to do so at any time without prior notice of the change or update, including after an order is submitted.
In addition, we are not responsible if information made available on this site is not accurate, complete or current or which may contain certain historical information. Historical information, necessarily, is not current and is provided for your reference only, as is the content on our service is provided for general information only and should not be relied upon or used as the sole basis for making decisions without consulting primary, more accurate, more complete or more timely sources of information. IMPORTANT NOTE: Again, the color you see on your monitor screen may not be a true reflection of the color you have in your mind’s eye for the fabulous quilt you’re working on or want to create. If you want a particular color or fabric line, email us in advance of choosing your fabric and placing your order because once you’ve done that the fabric is yours forever. There are no returns or refunds on fabric purchased through our store. We do our best to give you the best color representation possible, but because of the variety of monitors out there in the world, we just can’t be held responsible if what you see is not what you get. Further, we do not warrant that the quality of any products, services, information, or other material purchased or obtained by you will meet your expectations, or that any errors in the service will be corrected.
Why did your prices go up?
POText reserves the right to change its pricing without notice. This might include, but is not limited to, an event that is out of our control like a government action affecting delivery of our products or services, increased shipping charges, or an increase by one of our distributors/suppliers, etc. We reserve the right at any time to modify or discontinue the service or any part or content thereof without notice at any time.
We shall not be liable to you or to any third-party for any modification, price change, suspension or discontinuance of the service or products.
How do I pay for my products or your services?
To keep POText’s costs down to provide you with the best prices for our products and services, POText will use PayPal as its payment processor. Using PayPal has become a common way of processing payments by an individual and is free to use for personal transactions that can be charged to your credit/debit card or taken directly out of your bank account. If you do not already have an account with PayPal, you may be requested to create one. Remember, this is a third-party company which we neither monitor nor have any control or input over, and you are required to follow their terms and conditions as set forth by them and must keep your password protected. POText accepts no responsibility if you have forgotten your password or if it has been stolen. Please contact PayPal directly in the event of this occurring. Because we use PayPal for our payment processing, there may be a delay in processing your order as credit/debit cards require validation and authorization by your card issuer (MasterCard, Visa, etc.). POText is not liable for any delay or non-delivery of your order based on a payment delay.
Further, you acknowledge and agree that we provide access to such tools “as is” and “as available” without any warrants, representations or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools, and any use is entirely at your own risk and discretion and you should ensure that you are familiar with and approve of the terms on which tools are provided by the relevant third-party provider(s).
We may also, in the future, offer new services/features through the service, including the release of new tools and resources. Such new features/services shall also be subject to these Terms of Service.
POText is holding a sale, promotion, or rewards program, or offering gift cards.
When a sale, promotion, rewards program, or offer of gift cards is made available to you, each one shall be governed by its own set of rules separate from these Terms of Service. We require that if you choose to participate in a sale, promotion, rewards program, or purchase of a gift card, that you read all the applicable rules as well as our Privacy Policy. The sale, promotion, rewards program, or offer of gift cards’ rules shall apply if there are conflicts with these Terms of Service.
Third-party links
Our services may contain links to companies like PayPal, Squarespace articles, government websites, etc. Doing this is to assist you in understanding our terms of service and our expectations, or simply because we find value in another quilter’s blog, article, or lesson, and wish to share it with our customers. These third-party links are not owned or controlled by POText, and POText assumes no responsibility for their content, their privacy policies, or practices. In addition, POText wishes to make you aware that in clicking on these links, you may to have to accept cookies as part of being able to view their website or use services. You acknowledge and agree that POText remains harmless and is not responsible or liable, directly or indirectly, for any damage or loss due to these activities or our use or reliance on any content or services made available to you through a third-party’s website or services. POText advises quite strongly that you read any third-party’s terms and conditions, terms of service, however they name it, and their privacy policies, that you visit through one of our links and make sure you understand them before you engage in any transaction.
Third-party links on our service may direct you to third-party websites that are not affiliated with POText. We are not responsible for examining or evaluating the content or accuracy of such or that of any third-party link we provide. And we do not warrant and will not have any liability or responsibility for any third-party materials or websites, or for any other materials, products, or services of a third-party link and any third-party you may be directed to by such third-party links.
We are not liable for any harm or damages related to the purchase or use of goods, services, resources, content, or any other transactions made in connection with any third-party websites. Complaints, claims, concerns, or questions regarding third-party products should be direct to the third-party.
Limitation of liability and governing law
You shall not hold POText, its owner or designee(s), service provider, distributors/suppliers liable for any special or consequential damages that result from the use of, or the inability to use, the materials on this site or the performance of the products it sells. As permitted by applicable law, in no event shall POText, its owner(s) or designee(s), service provider, or its distributors/suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, for business interruption, for personal injury, loss of privacy arising out of or in any way related to the use of or inability to use the service, third-party software/hardware/websites or services, or otherwise in connection with any provision of this term of conditions, even if POText, its service provider, or any distributor/supplier has been advised of the possibility of such damages and even if the remedy fails of is essential purpose. Applicable law may not allow the limitation of exclusion of liability or incidental or consequential damages, so the above limitation or exclusion may not apply to you. But if they are, they shall be applied to the greatest extent enforceable under applicable law.
These Terms of Services and any separate agreements whereby we provide you products, services, and the use of our service shall be governed by and construed in accordance with the laws of the United States of America and the state of Michigan, excluding its conflicts of law rules. Other local, state, national laws may also apply to your use of POText service.
Warranty and ”as is”/“as available” disclaimer and indemnification
You agree Piece Out Textiles, LLC, its service, products and services, is operated and provided to you on an "AS IS" and "AS AVAILABLE" basis and with all faults and defects without any representation, warranty, or condition of any kind either express or implied. Under applicable law, POText, on its own behalf and on behalf of its owner and designee(s), its service provider, and distributors/suppliers, expressly disclaim all warranties, whether express, implied, statutory or otherwise, with respect to the service, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and warranties that may arise out of course of doing business with us. Without limitation to the foregoing, POText provides no warranty or undertaking, and makes no representation of any kind that the service will meet your requirements, achieve any intended results, be compatible or work with any other software, applications, systems or services, operate without interruption, meet any performance or reliability standards or be accurate or error free or that any errors or defects can or will be corrected.
Without limiting the foregoing, neither POText, its owner or designee(s), its service provider, or distributors/suppliers makes any representation or warranty of any kind, express or implied as to the operation or availability of the service, or the information, content, and materials or products included thereon; that the service will be uninterrupted or error-free. In addition, we make no representation or warranty of any kind, express or implied, as to the accuracy, reliability, or currency of any information or content provided through the service; or that the service, its servers, the content, or emails sent from or on behalf of POText are free of viruses, Trojan horses, malware, or other such malarkey.
You agree that from time to time we may remove the service for indefinite periods of time or cancel the service at any time without notice to you. You expressly agree that your use of, or inability to use, the service is at your own risk.
In no case shall Piece Out Textiles, LLC, its owner(s), designee(s), director(s), officer(s), affiliates, agents, service providers, employees/contractors/subcontractors, distributors/suppliers, or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation, lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the service or any products procured using the service, or for any other claim related in any way to your use of the service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the service or any content (or product) posted, transmitted, or otherwise made available via the service, even if advised of their possibility.
Again, there are jurisdictions that do not allow for exclusions of certain types of warranties or limitations on applicable statutory rights of a consumer so some or all of the above exclusions and limitations may not apply to you. But if they are, they shall be applied to the greatest extent enforceable under applicable law.
You agree to indemnify, defend and hold harmless Piece Out Textiles, LLC, its owner(s), its designee(s), subsidiaries, affiliates, partners, officers, directors, agents, employees/contractors/subcontractors, licensors, service provider, distributors/suppliers harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.
NOTE: The above disclaimers do not apply to any product warranty offered by the product manufacturer; you have the complete and total responsibility for creating procedures and practices for backing up data and checking for viruses on your own devices; you agree and acknowledge that sewing and quilting with its many techniques are individually pursued by you, with varying results and dependent upon many factors which includes your skill level, style, and creativity. POText does not guarantee the results of any pattern, kit, instruction, design or project presented on our website, and we disclaim all liability for unsatisfactory results.
Severability and Waiver
If POText got any of these terms or provisions wrong which end up being non-enforceable, unlawful, void or invalid, such provisions shall nonetheless be enforceable to the fullest extent as permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service. Upon such a determination, any remaining provisions set forth will remain unaffected in validity and continue in full force and effect.

Your continued access or use of our service once the change(s) become effective means you agree to bound by the changes/updates.
